Intellectual Property Due Diligence

Buying or selling a company?

We are experienced in handling all IP aspects of mergers and acquisitions. We perform the required due diligence to assure that the patents and trademarks are what they are purported to be, that is, the patents cover the inventions as practiced commercially and have received valid Letters Patent. The trademarks should be examined and protected by Certificates of Registration wherever marketed. During due diligence, we also determine that all listed patents and trademarks are owned by the target company as claimed and the title is clear and free from security interests.

Because we are experienced in patent and trademark searches and prosecution worldwide, i.e. in every major region and country in the world, including Europe, China, Japan, Russia, Africa, India, the Middle East, South America, Latin America, and of course, Canada and Mexico, we have extensive knowledge of international IP procedures so that we can determine the ownership, validity and status of patents and trademarks world wide.

Finally, we are a full service transactional patent and trademark firm, meaning our services include all matters required to procure full patent protection and trademark protection for our clients, globally when necessary. Our comprehensive services cover all aspects of IP prosecution from the initial availability search to Registration of the Letters Patent or Certificate of Trademark Registration. We also draft license agreements, represent clients in patent validity opinions, infringement analysis, patentability and freedom to use searches and trademark availability reports.
